Job Purpose Summary

The Head of Financial Advisory and Project Finance will be responsible for leading all financial advisory activities in support of Business Development and Mergers & Acquisitions initiatives of Nebras Power and for developing internal capabilities and a team of financial advisory professionals which can effectively support the growth efforts of the Company. He/she will be responsible for establishing a robust investment governance framework including policies and procedures on investment screening criteria, investment evaluation and investment authorization. The incumbent will be responsible for all business evaluations in support of green field business developments and M&A initiatives. He/She will be also responsible for providing advice on selection of financial advisory firms and for their coordination. He/she will be responsible for leading, managing and monitoring all Nebras Power’s project and structured financing transactions. The incumbent will be also responsible for the identification and execution of project debt restructuring and refinancing opportunities, with an expectation of “upside” value creation. He/she will discharge his/her responsibilities under the coordination and supervision of the Chief Financial Officer

Essential Duties & Responsibilities by Dimensions

A. Customer Care:

  • Expresses thoughts effectively and convincingly using appropriate verbal and non-verbal behaviours to reinforce logical, concise messages.

B. Communication:

Project and Structured Financing:

  • Prepares recommendations, status reports, and approval requests for Executive Team.

C. Internal (Processes, Products, Regulatory):

Financial Advisory:

  • Develops and establish a robust investment governance framework including policies and procedures on investment screening criteria, on investment evaluation and investment authorization in close coordination with Business Development and M&A teams.
  • Develops internal capabilities for business evaluation and investment assurance ensuring that financial modelling activities (structuring, development, peer review, audit) are in line with best international practices.
  • Supports Business Development and M&A functions in preparing Investment Memorandum and/or other investment documentation for the purpose of investment screening or investment approval.
  • Defines scope of work, assess and provide advice and recommendation on financial advisors selection. Manage and coordinate effectively their activity in in close coordination with Business Development and M&A teams.

Project and Structured Financing:

  • Leads all Nebras Power’s project and structured financing activities in order to meet timely the funding requirements of green field developments, M&A projects and refinancing of existing projects at the most competitive terms.
  • Identifies the optimal debt structuring after comprehensive assessment of funding alternatives and in close coordination with the Business Development and M&A teams.
  • Works closely with equity partners, technical and market advisors, lawyers, accounting and tax advisors, rating agencies.
  • Conducts effective relationships with lending institutions, credit rating agencies and financial community.
  • Ensures proper financing execution, including assessment and selection of financing counterparties, coordination of lenders’ due diligence and effective negotiation of term sheets and financing documentation.
  • Works closely with the business development team to ensure timely compliance with all conditions precedent and other obligations embedded in financing agreements.
  • Proactively explores project refinancing opportunities, with an expectation of “upside” value creation versus a base case financing.
  • Conducts effective analysis on current status and expected trends of relevant financial markets to support effective capital structuring decisions and active management of project debt portfolio.

D. Planning & Organizing:

Financial Advisory:

  • Coordinate all business evaluation activities in support of business developments and M&A initiatives.
  • Coordinates all financial analysis in support of business developments and M&A initiatives during all stages of the investment cycle.

Project and Structured Financing:

  • Coordinates the drawdown/repayment formalities for debt facilities and closely monitor compliance with financing covenants and obligations.
  • Prepares recommendations, status reports, and approval requests for Executive Team.

Education/Experience Requirements

Essential:

  • University degree in Finance and/or Business Administration from a recognized University.

Preferred:

  • Master in Finance and/or Business Administration from a recognized Management School.
  • Professional qualification CFA

* As Nebras requires a high level of expertise, the above mentioned educational requirements are compensated for through extensive years of experience in a related sector or field.

Required Special Skills

Essential:

  • Minimum of 8-10 years of experience in financial advisory/project and structured finance of which 4-5 years should be in a similar position/responsibility.
  • Strong exposure to international banking/ECAs/Multilaterals/Development Finance Institutions.
  • Strong knowledge of the Financial Advisory market space

Preferred:

  • Minimum of 5 years exposure to global power/water/renewable sectors
  • Exposure to international companies with large complexity and to multicultural environments.
  • Knowledge and/or exposure to Qatar or other Gulf regions.

SKILLSET:

  • Superior analytical and synthesis skills.
  • Strong communication and interpersonal skills with sensitivity to different cultures.
  • Ability to build trust and effective personal relations both within the organization and with all relevant external stakeholders.
